As a general rule, in order to maintain the limited liability, taxation and other benefits of a corporation, all corporations should prepare Shareholder Board of Director Minutes at least annually. In addition, if a corporation entered into any contracts, leases or other significant arrangements during the year, if officers or directors have been replaced during the year or if the corporation has issued additional shares during the year, minutes should be prepared to approve these actions.
